Elisian Terms of Service
These Terms are the agreement between Elisian and the person or organization that creates an Elisian account. Please read them before you accept. If you do not agree, do not create an account or use the service.
Our Privacy Policy explains what we collect and how we handle it, and is part of this agreement.
1. This website
This section is new to the public version and applies to everyone, including people who have no Elisian account. Sections 2 onward apply to account holders and invited users.
Browsing does not create an agreement to the rest of these Terms. You can read this site without signing anything. Sections 2–18 take effect when you create an account and complete the acceptance step.
Using the site. Please do not attempt to probe, scan, or disrupt the site, scrape it at a volume that degrades it for others, or misrepresent your identity when contacting us.
The site's content is ours. The text, design, logos, and images on our marketing pages belong to Elisian or our licensors. "Elisian" and our logo are our marks. You may link to our pages and quote short excerpts with attribution; please do not copy the site or use our marks to suggest a partnership or endorsement that does not exist.
If you join the waitlist. If you give us your email address to hear about beta access or product updates, we use it to contact you about Elisian and nothing else. We do not sell it or share it with advertisers, and every message we send includes a way to unsubscribe. You can ask us to remove you at any time using the contact details in Section 18.
Forward-looking statements. Our marketing pages describe a product that is in development, including features and timelines that may change. Nothing on this site is a commitment that a particular feature will ship, or a guarantee of any result or outcome for your portfolio.
2. Definitions
- Elisian, we, us — the operator of the Elisian property-management platform.
- Platform — the Elisian web application, mobile applications, and API.
- Site — elisian.ai and our other marketing pages.
- Account holder, you — the person or organization that creates an account, including solo landlords, property-management companies, enterprise accounts, and association managers.
- Invited user — a tenant, vendor, rental owner, association owner, or team member who is invited into an account holder's workspace.
- AI agents — the automated features of the Platform that classify, draft, summarize, recommend, schedule, or, within the limits of Section 5, carry out actions. This includes the conversational assistant and the maintenance, leasing, communication, and finance agents.
- Standing instructions — the authorization rules, autonomy levels, approval modes, and per-workflow policies you configure, which determine what AI agents may do without asking you again.
3. Acceptance and eligibility
You accept these Terms by completing the acceptance step during registration. We record the date and time of your acceptance and the version of these Terms and of the Privacy Policy that you were shown.
You must be at least 18 years old and able to enter into a binding contract. If you accept on behalf of an organization, you represent that you are authorized to bind it. If you onboard a property, you represent that you are authorized to manage it.
4. The service
Elisian provides property-management software with AI-assisted workflows, including rent and lease management, maintenance coordination, leasing from listing through signature, screening facilitation, communications, accounting and reporting, and owner and association tools.
A new account starts in a setup state. Until you explicitly take the account live, the Platform will not publish listings, invite tenants, dispatch vendors, or expose public pages on your behalf. You may pause a live account at any time.
We may add, change, or remove features. We may also set reasonable limits on usage, storage, and message or notification volume.
5. AI agents: authority and limits
5.1 Agents act on your instructions. Elisian's AI agents are configurable tools that carry out your standing instructions. The authorization rules, autonomy levels, and approval modes you configure are those instructions. You are responsible for the configuration you choose and for the actions agents take within it.
5.2 Output is decision support. Agent summaries, classifications, drafts, recommendations, price and timing suggestions, and document extractions may be wrong or incomplete. They are not legal, tax, accounting, or professional advice. Review anything that matters before you rely on it, and do not treat an agent's output as a substitute for your own judgment or for professional counsel.
5.3 Money movement. No Elisian AI agent initiates a payment-network transfer of funds on its own. Payment instructions originate from a person, from a schedule you configured, or from a payment made by a payer, and run through the payment processors named in Section 8.
5.4 Human confirmation. Certain actions — including legal notices and other consequential outbound steps — require a person to confirm before they are carried out, regardless of autonomy level. Where an action can be delegated to an agent, that delegation is an election you make, and the Platform records it.
5.5 Auditability. Actions that agents take are recorded in an activity log available in your account. If you believe an agent acted outside your instructions, tell us using the contact details in Section 18.
6. Your responsibilities
You are responsible for using the Platform lawfully. In particular:
- Fair housing and anti-discrimination. You are responsible for your leasing, screening, advertising, and communication decisions and for their compliance with federal, state, and local fair-housing and anti-discrimination law. Agent-generated listing copy, screening summaries, and applicant communications are drafts you adopt, not decisions we make.
- Consumer reports. Where the Platform facilitates tenant screening, you are the end user of the consumer report. You are responsible for having a permissible purpose, for obtaining the applicant's authorization, and for any adverse-action obligations that follow. Elisian provides the conduit and the tooling.
- Notices and lease terms. You are responsible for the content, timing, and delivery method of legal notices, and for the lease terms you set, including late fees and deposits.
- Accuracy. You are responsible for the accuracy of the data you enter or import, including ledgers, balances, and unit and lease records.
- Your users. You are responsible for the team members you invite and for the permissions you grant them.
You will not use the Platform to break the law, to infringe someone else's rights, to send unlawful or deceptive messages, to probe or disrupt our systems, or to build a competing product from our non-public interfaces.
7. Invited users
Tenants, vendors, owners, and team members use the Platform through the workspace that invited them. Their records belong to that workspace, and the account holder controls what they can see and do. An invited user's own use of the Platform is also subject to these Terms.
8. Fees and payments
Subscription fees, transaction fees, and any usage-based charges are the ones presented to you at signup or in your account's plan settings. Fees are charged through our payment processors. Card and bank details are handled by those processors; Elisian does not store full payment credentials.
Rent, deposits, owner distributions, and vendor payments move through third-party payment and banking providers. Settlement timing, holds, reversals, and returns follow those providers' rules and are outside our control.
Unless a written agreement says otherwise, fees are non-refundable for the period already served. You are responsible for taxes other than taxes on our income.
9. Electronic records and signatures
You consent to receive agreements, disclosures, and notices electronically, and you agree that electronic signatures captured through the Platform have the same effect as handwritten ones. You may withdraw this consent by closing your account; doing so may make parts of the Platform unusable.
10. Your content and data
You keep ownership of the data you put into the Platform. You grant us the rights we need to host, process, transmit, and display it in order to operate the service for you, including sending it to the subprocessors described in the Privacy Policy.
We may use aggregated or de-identified information — information that does not identify you, your properties, or the people in your account — to operate, secure, and improve the service.
The Privacy Policy explains what we collect and how we handle it, and is part of this agreement.
11. Third-party services
The Platform integrates with third-party providers for payments, banking data, screening, electronic signature, messaging, email, and AI processing. Their services are governed by their own terms. We choose our providers carefully, but we are not responsible for their acts or omissions, and an outage or change on their side may affect the features that depend on them.
The Privacy Policy names these providers.
12. Availability and warranties
We work to keep the Platform available and correct, but we provide it "as is" and "as available." To the fullest extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI-generated output is accurate, that the Platform will be uninterrupted, or that it will meet a specific legal or regulatory requirement that applies to you.
13. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data. Our total liability arising out of or relating to the Platform is limited to the amount you paid us for the service in the twelve months before the event giving rise to the claim.
Nothing here limits liability that cannot be limited by law.
14. Indemnity
You will defend and indemnify us against third-party claims arising from your use of the Platform in breach of these Terms or in violation of law, including claims arising from your leasing, screening, notice, or communication decisions.
15. Suspension and termination
You may close your account at any time. We may suspend or terminate an account that breaches these Terms, that creates a security or legal risk, or that has unpaid fees, and we will give you notice where we reasonably can.
After termination we retain data for the period described in the Privacy Policy. You are responsible for exporting the records you need to keep. Some records — financial and screening records in particular — carry retention obligations that survive the account.
16. Governing law and disputes
We are preparing this section with our outside counsel, and it will be completed before these Terms take effect. If you have a question about it in the meantime, the contact details in Section 18 reach us.
17. Changes to these Terms
We may update these Terms. Every version carries a version identifier and an effective date, and the Platform records the version you accepted, so you can always tell which one you agreed to.
When we make a material change we will post the new version with its effective date before it takes effect and notify account holders. Continuing to use the Platform after that date means you accept the new version. If you do not accept it, close your account before the effective date.
18. Contact
Questions about these Terms:
- Email: legal@elisian.ai
- Post: [Elisian legal entity name, street address]
- In the app (account holders): Settings → Help and feedback
19. General
These Terms, together with the Privacy Policy and any written order or plan terms, are the entire agreement between us. If a provision is held unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our consent; we may assign it in connection with a merger, acquisition, or sale of assets.
